• The client agrees not to violate any legal obligations related to their business, including copyright or trademark laws.

5. Payment Terms

• Payments for services are outlined in the project proposal or invoice.
• Payment must be made within the agreed-upon period, typically 10 days from the date of invoice.
• Late payments may incur a penalty of 5% after 10 days of delay.
• The company reserves the right to pause or terminate services if payments are not received on time.

6. Confidentiality
We will maintain the confidentiality of all client information, including business plans, strategies, and data shared during the course of our work. However, we may showcase your project for marketing purposes unless expressly prohibited by the client.

7. Intellectual Property Rights

• The client retains ownership of all content, designs, and materials provided to Digicon IT solutions for use during the project.
• All content created by Digicon IT solutions, including designs, graphics, and marketing materials, remains our intellectual property unless otherwise agreed upon in writing.
• Upon full payment, the client is granted a license to use the deliverables as agreed.

8. Service Modifications
If there are any changes in the scope of the services, it may result in adjustments to the timeline, cost, or deliverables. Any changes must be mutually agreed upon by both parties.

9. Termination of Services

• Either party may terminate the agreement by providing written notice 10 days in advance.
• If the client terminates the contract before completion, payment for services rendered up to that point must be made.
• Digicon IT solutions reserves the right to terminate the agreement in case of non-payment, violation of terms, or unethical conduct by the client.

10. Limitation of Liability
Digicon IT solutions will not be held liable for any damages or losses resulting from the client’s use of the services, including loss of revenue, data, or reputation. Our maximum liability in any claim arising from our services is limited to the amount paid by the client for the specific project.

11. Warranties and Disclaimers

• Digicon IT solutions does not guarantee specific results, as the effectiveness of digital marketing services depends on numerous factors outside of our control.
• We provide services based on the best practices and industry standards but do not warrant against uncontrollable factors, such as algorithm changes by search engines or social media platforms.

12. Governing Law
These terms and conditions are governed by and interpreted in accordance with the laws of India. Any disputes arising from this agreement shall be resolved in the courts of India.

13. Indemnification
The client agrees to indemnify and hold harmless Digicon IT solutions from any claims, damages, or legal actions arising from the use of our services, including any misuse of intellectual property or violation of third-party rights.

14. Force Majeure
Neither party will be liable for delays or failures in performance due to circumstances beyond their control, including natural disasters, strikes, or technical failures.

15. Amendments to Terms
